By accessing or using the Bash Ventures, LLC underwriting platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including organization administrators and members.
The Service is a commercial real estate financial modeling and underwriting tool. It allows users to build property-level cash flow models, analyze debt structures, run waterfall scenarios, and generate investment summaries.
The Service is a calculation and analysis tool only. Nothing produced by the Service — including financial projections, return estimates, narrative summaries, or AI-generated content — constitutes investment advice, legal advice, tax advice, or a recommendation to buy, sell, or hold any asset.
All outputs depend entirely on the inputs you provide. We make no representation that any projection will be achieved. You are solely responsible for the accuracy of your inputs and for any decisions made in reliance on Service outputs.
Access to the Service requires administrator approval. We reserve the right to deny, suspend, or revoke access at our sole discretion. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You retain ownership of all deal data and content you input into the Service. By using the Service, you grant us a limited license to store, process, and transmit your data as necessary to provide the Service, including transmission to AI processing providers as described in our Privacy Policy.
You represent that you have the right to submit any data you provide, including documents uploaded for AI analysis.
Access to the Service requires a paid subscription. New subscriptions include a 7-day free trial. A valid payment method is required at signup; you will not be charged during the trial period. If you do not cancel before the trial ends, your subscription begins automatically.
Monthly plans: Cancel anytime. You retain access through the end of the current billing period. No partial-month refunds.
Annual plans: Cancel anytime. No refund on remaining months unless you request a refund within 14 days of the annual renewal date.
Satisfaction guarantee: If you are unsatisfied within 7 days of your first paid charge (post-trial), contact us at support@bashventuresllc.com for a full refund — no questions asked.
We reserve the right to change pricing with 30 days' notice to active subscribers.
Either party may terminate at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to access the Service ceases. You may request export of your deal data within 30 days of termination.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ITS OUTPUTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

Agreement to arbitrate: You and Bash Ventures, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including questions about the existence, validity, or termination of these Terms — shall be resolved exclusively by binding individual arbitration, not in court. This applies to all claims, whether based in contract, tort, statute, or any other legal theory.
Class action waiver: You and Bash Ventures, LLC each waive any right to bring claims as a plaintiff or class member in any purported class, collective, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding.
Arbitration rules: Arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, or, for claims under $25,000, its Consumer Arbitration Rules. The arbitration shall take place in San Diego County, California, or via remote hearing at either party's election.
Costs: We will pay all AAA filing, administration, and arbitrator fees for claims under $10,000 unless the arbitrator finds your claim frivolous. For claims above $10,000, fees are allocated per AAA rules.
Small claims carve-out: Either party may bring an individual claim in small claims court in San Diego County, California, if the claim qualifies.
Informal resolution first: Before initiating arbitration, the claiming party must send written notice to support@bashventuresllc.com describing the dispute and relief sought. The parties will attempt to resolve the dispute informally for 30 days before either may initiate arbitration.
Opt-out: You may opt out of this arbitration agreement by sending written notice to support@bashventuresllc.com within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to the arbitration agreement above, any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts of San Diego County, California, and you consent to personal jurisdiction there.
We may modify these Terms at any time. We will provide at least 14 days' notice by email before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
